1. Acceptance of Terms

By accessing or using The EXPLR App ("Service," "App," "we," "us," or "our"), operated by EXPLR LLC, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

The EXPLR App is a social media and food discovery platform that allows users to discover restaurants, share food experiences, upload photos, follow other users, and interact with food-related content. The Service includes mobile applications, web applications, and associated services.

3. Eligibility

You must be at least 13 years of age to use the Service. By using the Service, you represent and warrant that you meet this age requirement. If you are under 18, you represent that you have your parent or guardian's permission to use the Service.

4. User Accounts

To access certain features, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain the security of your account credentials
  • Promptly update your account information as necessary
  • Accept responsibility for all activities under your account

The Service, including all content, features, functionality, trademarks, logos, and branding ("EXPLR Materials"), is owned by EXPLR LLC and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works without our express written permission.

8. Third-Party Services and Links

The Service may contain links to third-party websites or services, including restaurants, payment processors, and mapping services. We are not responsible for the content, privacy practices, or terms of these third parties. Your use of third-party services is at your own risk.

9. Restaurant Information and Reviews

Restaurant information, menus, hours, and other details are provided for informational purposes only and may not be accurate or current. We do not guarantee the accuracy, completeness, or reliability of any restaurant information.

User reviews and ratings represent individual opinions and do not reflect the views of EXPLR LLC. We are not responsible for user-generated reviews or ratings.

10. Disclaimers and Limitations of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXPLR LLC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • Merchantability, fitness for a particular purpose, and non-infringement
  • Accuracy, reliability, or availability of the Service
  • Security or virus-free operation
  • Uninterrupted or error-free service

IN NO EVENT SHALL EXPLR LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE PAST TWELVE (12) MONTHS, OR $100, WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless EXPLR LLC, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorney's fees) arising out of or related to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of another party.

12. Termination

We reserve the right to suspend or terminate your account and access to the Service at any time, with or without notice, for any reason, including violation of these Terms. Upon termination, your right to use the Service will immediately cease.

13. Dispute Resolution and Arbitration

Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, rather than in court, except that you may assert claims in small claims court if your claims qualify.

YOU AGREE TO WAIVE YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN CLASS ACTIONS.

The arbitration will be conducted in Delaware, and judgment on the award may be entered in any court having jurisdiction.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any legal action or proceeding shall be brought exclusively in the federal or state courts located in Delaware.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service with a new "Last Updated" date. Your continued use of the Service after changes constitutes your acceptance of the modified Terms.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

17. Entire Agreement

These Terms constitute the entire agreement between you and EXPLR LLC regarding the Service and supersede all prior agreements and understandings.
